1. Acceptance of Terms

By accessing and using biological or operational advisory services provided by SilverNorth LLC (the "Company"), you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, do not use our services.

2. Description of Services

SilverNorth LLC provides strategic consulting, revenue cycle analysis, and operational efficiency advisory services to independent physician-owned medical practices. We identify opportunities for revenue optimization and patient retention improvements.

3. No Medical Advice

The Company is an advisory firm and not a medical provider. We do not provide clinical care, medical diagnosis, or treatment to patients. Any operational recommendations related to patient care systems are for administrative purposes only.

4. Client Responsibilities

Clients are responsible for providing accurate and complete financial and operational data for assessment. The effectiveness of the advisory depends on the transparency of the information provided by the practice management.

5. Professional Fees

Fees for Practice Assessments and ongoing advisory services are outlined in specific service agreements. Payment terms are strictly net 30 days unless otherwise specified in the individual contract.

6. Confidentiality

We maintain strict confidentiality regarding all practice data. We sign Non-Disclosure Agreements (NDAs) and follow HIPAA-compliant data handling practices when accessing any systems containing Protected Health Information (PHI).

7. Intellectual Property

All diagnostic pathways, data models, and assessment methodologies used by SilverNorth are the exclusive property of the Company. Clients are granted a limited license to use the final reports for their internal practice improvements.

8. Limitation of Liability

SilverNorth LLC shall not be liable for any indirect, incidental, or consequential damages resulting from the implementation of advisory recommendations. Financial outcomes are subject to external market factors.

9. Third-Party Partners

We may coordinate with specialized partners or vendors to execute recommendations. SilverNorth acts as a coordinator, and clients remain responsible for their direct agreements with these third-party entities.

10. Term and Termination

Advisory agreements may be terminated by either party with 30 days written notice. Upon termination, all outstanding fees for services performed until that date become immediately due.

11. Data Accuracy

While we strive for precision in our diagnostic assessments, outcomes are based on information provided by the client. We do not audit practice books and rely on the management's representations.

12. Privacy Policy

Your use of our digital platforms and assessment tools is also governed by our Privacy Policy, which describes how we collect and use your business and personal information.

13. Governing Law

These terms and any disputes related to our services are governed by the laws of the State of Florida, without regard to its conflict of law principles.

14. Force Majeure

Neither party shall be liable for delays or failures to perform resulting from events beyond their reasonable control, including natural disasters, healthcare emergencies, or government restrictions.

15. Dispute Resolution

Parties agree to attempt mediation for any disputes before filing legal action. Any legal proceedings will be held in Hillsborough County, Florida.

16. Professional Conduct

Our advisors maintain the highest standards of integrity. We disclose any potential conflicts of interest regarding vendor recommendations to our physician clients.

17. Severability

If any provision of these Terms is found to be unenforceable, the remainder of the Terms shall remain in full force and effect.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes become effective once posted on our digital platforms. Your continued use of services constitutes acceptance of revised terms.

19. Entire Agreement

These Terms, along with any specific Service Agreements and NDAs, constitute the entire agreement between you and SilverNorth LLC.

20. HIPAA Compliance

We strictly adhere to HIPAA regulations. Our staff undergoes regular training, and our digital collaboration tools use industry-standard encryption for managing sensitive practice data.

21. User Feedback

Any suggestions or feedback provided to the Company regarding our diagnostic methods may be used by us without compensation to you to improve our advisory services.

22. Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision in the agreement.

23. Notices

All legal notices to the Company should be sent via certified mail to our Tampa, FL corporate address listed on the Contact page.
